1. Description of Services

FlexDegree is a lead generation platform that connects prospective students with accredited educational institutions offering online degree programs. We do not provide educational services directly, nor do we guarantee admission to any educational institution.

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. User Information and Consent

When you submit information through our Services, you consent to:

• Receive communications from us and our partner educational institutions via phone, email, SMS, or other electronic means
• The sharing of your information with educational institutions and their authorized representatives
• Being contacted regarding educational programs and related services
• Receiving automated communications, including pre-recorded messages and autodialed calls

3.1 Telephone Consumer Protection Act (TCPA) Compliance

By providing your telephone number, you expressly consent to receive calls and text messages from us and our partner institutions, even if your number is listed on any Do Not Call registry. You understand that consent is not required as a condition of purchasing any goods or services. Standard message and data rates may apply.

3.2 Accuracy of Information

You agree to provide accurate, current, and complete information when using our Services. You are responsible for maintaining the accuracy of your information and promptly updating it as necessary.

4. Use of Services

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates any applicable federal, state, local, or international law
• Transmit any false, misleading, or fraudulent information

Our Services may contain links to third-party websites or services that are not owned or controlled by FlexDegree. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

7. Intellectual Property

The Services and their entire contents, features, and functionality are owned by Idillo Inc. and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IDILLO INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

10. Indemnification

You agree to defend, indemnify, and hold harmless Idillo Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Orange County, Florida.

14. Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in Orange County, Florida, before one arbitrator. The arbitration shall be administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.

15. Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between you and us individually. To the full extent permitted by law, no arbitration or proceeding shall be joined with any other, no dispute shall be arbitrated on a class-action basis, and there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Idillo Inc. regarding the use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
